Musk was speaking in a lawsuit he himself filed against OpenAI. He stated that he continued to invest in the artificial intelligence company based on assurances from its CEO, Sam Altman, that OpenAI would remain a nonprofit organization. However, Musk expressed that he later began to harbor doubts about the company’s trajectory and felt a sense of betrayal.
The core of Musk’s civil lawsuit is the allegation that OpenAI, along with Altman and OpenAI President Greg Brockman, have deviated from the AI company’s foundational agreement. Musk claims they have prioritized profit over a commitment to keep OpenAI as a nonprofit entity dedicated to advancing human progress.
This legal battle is unfolding in the U.S. District Court for the Northern District of California and is anticipated to continue for approximately four weeks, having commenced on Monday.
Musk’s financial contributions to OpenAI spanned from December 2015 to May 2017, totaling $38 million. In stark contrast, OpenAI is now valued at over $85 billion.
Lawyers representing OpenAI have refuted Musk’s claims. They contend that the company’s leadership never made a perpetual promise to maintain its nonprofit status. OpenAI argues that Musk’s lawsuit is an attempt to hinder its rapid expansion and to boost his own AI venture, xAI, which he launched in 2023 as a direct competitor.
During a vigorous cross-examination, Musk frequently pushed back against the questions posed by OpenAI’s legal team. William Savitt, an attorney for OpenAI, questioned Musk about emails he had sent prior to OpenAI’s establishment in 2015. These inquiries touched upon whether it would have been more advantageous to structure OpenAI as a standard for-profit company and the implications for tax deductions on his donations to the nonprofit.
“Your questions are not simple,” Musk stated. “They are designed to trick me essentially.” He elaborated that any straightforward answer would risk misleading the jury.
Judge Yvonne Gonzalez Rogers intervened, prompting Musk to confirm whether it was true or false that OpenAI was founded as a nonprofit in December 2015. Musk affirmed that, in that specific context, the answer was yes. However, he added that the situation was not always straightforward, drawing a parallel to the question “have you stopped beating your wife?”
“We are not going to go there,” the judge responded, eliciting laughter from those present in the courtroom.
Despite these moments of levity, the trial carries significant weight, with the potential to reshape the power dynamics within the artificial intelligence sector. Musk’s lawsuit specifically seeks the removal of Sam Altman from OpenAI’s board of directors. A victory for Musk could also jeopardize OpenAI’s plans for a future initial public offering.
Musk’s decision to cease funding the company was a pivotal factor in the severe deterioration of the relationship between the former allies, a rift that has been evident throughout the proceedings. On Wednesday, Musk recounted that his perception of Altman and his OpenAI co-founders evolved through three distinct phases: initial enthusiasm, a subsequent loss of confidence, and a realization in late 2022 that “these guys are betraying their promise.”
Conversely, OpenAI’s legal representatives have asserted that Musk’s objective was to gain personal control over the company.
Musk consistently testified that while he initially desired a majority stake in OpenAI and control over four out of seven board seats, this influence was intended to be diluted over time as OpenAI expanded and attracted more shareholders. He drew a comparison to his stake in Tesla, which he noted has decreased to around 15% from an initial majority position when the electric car manufacturer was founded over two decades ago.
